Himal Ride Terms of Use

Welcome to Himal Ride (the "App" or "Platform"), operated by Ride Himal Pvt. Ltd. ("Ride Himal Pvt. Ltd.," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the App, our website, and related services (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

  • You must be at least 18 years old to create an account or use the Services.

  • You must have the legal capacity to enter into a binding contract.

  • If you register as a driver, you must meet the driver eligibility requirements described in Section 5, including holding a valid driver's license, appropriate insurance, and vehicle registration.

  • You represent that all information you provide during registration is accurate, current, and complete.

2. Description of Services

Himal Ride operates a technology platform that connects individuals seeking transportation ("Riders") with independent, third-party transportation providers ("Drivers"). Ride Himal Pvt. Ltd. is a technology company and is not a transportation carrier. Ride Himal Pvt. Ltd. does not itself provide transportation services and does not employ Drivers as employees, agents, or representatives, except where required by law.

Drivers using the Platform are independent contractors, not employees, partners, or agents of Ride Himal Pvt. Ltd., unless otherwise required by applicable law. Ride Himal Pvt. Ltd. does not control the manner, means, or method by which Drivers provide transportation services, and is not responsible for the acts or omissions of any Driver or Rider.

3. Accounts

3.1 Registration

To use the Services, you must create an account and provide accurate personal information, which may include your name, phone number, email address, payment information, and (for Drivers) identity, licensing, vehicle, and insurance documentation.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [legal@ridehimal.com] if you suspect unauthorized use of your account.

3.3 One Account Per Person

Accounts are personal to you and may not be shared, sold, or transferred.

4. Rider Terms

  • Requesting a ride through the App creates a direct transportation arrangement between you and the Driver; Ride Himal Pvt. Ltd. facilitates that connection but is not a party to it.

  • You agree to treat Drivers with respect, be ready at the requested pickup location and time, and pay all applicable fares, tolls, and fees through the App's payment system.

  • You may be charged a cancellation fee if you cancel a ride after a Driver has been dispatched, consistent with the cancellation policy posted in the App.

  • You are responsible for your own conduct and belongings during a ride, and for any damage you cause to a Driver's vehicle.

  • Ratings and feedback you provide should be honest and based on your actual experience.

5. Driver Terms

5.1 Eligibility Requirements

  • Hold a valid driver's license and meet the minimum age and driving experience requirements applicable in your jurisdiction.

  • Maintain a vehicle that meets the App's safety, age, and condition standards.

  • Maintain valid vehicle registration and insurance coverage that meets or exceeds all legally required minimums for rideshare/livery use in your jurisdiction.

  • Pass any background check, document verification, or other screening required by Ride Himal Pvt. Ltd. or applicable law.

  • Hold any permits, licenses, or registrations required by local, provincial, or national transportation authorities.

5.2 Independent Contractor Status

Drivers acknowledge and agree that they provide transportation services as independent contractors and not as employees of Ride Himal Pvt. Ltd. Drivers are solely responsible for determining when, where, and how long to provide services, subject to the App's operational guidelines. Drivers are responsible for their own tax obligations, and Ride Himal Pvt. Ltd. does not withhold taxes on a Driver's behalf.

5.3 Fees and Payment to Drivers

Ride Himal Pvt. Ltd. charges Drivers a service fee on completed trips, as disclosed in the App or in a separate Driver agreement. Driver payouts are processed on the schedule described in the App.

5.4 Compliance

Drivers are solely responsible for complying with all applicable laws, including traffic laws and local transportation regulations, and for the safe operation of their vehicles at all times, including requirements under the Motor Vehicles and Transport Management Act, 2049 (1993) and related regulations, and any provincial rules issued for Bagmati Province.

6. Fares, Payments, and Fees

  • Fares are calculated based on factors such as estimated distance, time, demand, and applicable local regulations, and may be shown as an upfront price or an estimate, as indicated in the App.

  • You authorize Ride Himal Pvt. Ltd. (or its payment processor) to charge your selected payment method for fares, fees, tolls, and applicable taxes.

  • Prices may vary based on demand ("surge" or "dynamic" pricing) and will be disclosed before you confirm a ride where required.

  • All fees are non-refundable except as required by law or as expressly stated in these Terms.

  • You are responsible for any charges resulting from damage, cleaning, or violations of these Terms during a ride, as documented and disclosed to you.

7. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful, fraudulent, or abusive purpose.

  • Harass, threaten, discriminate against, or endanger any Rider, Driver, or third party.

  • Provide false identity, licensing, insurance, or vehicle information.

  • Use the Services while impaired by alcohol or drugs, or transport illegal substances or weapons.

  • Interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the App or its systems.

  • Use the Platform to solicit rides or payments outside the App in circumvention of applicable fees.

We may suspend or terminate accounts that violate this section, with or without notice, at our discretion.

8. Safety

Ride Himal Pvt. Ltd. may offer safety features such as GPS trip tracking, emergency assistance buttons, identity verification, and two-way ratings. These features are provided as a convenience and do not guarantee your safety. In an emergency, contact local emergency services immediately.

9. Third-Party Services

The App may integrate with third-party services (such as maps or payment processors). We are not responsible for the availability, accuracy, or practices of third-party services, which are governed by their own terms.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RIDE HIMAL PVT. LTD. DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. RIDE HIMAL PVT. LTD. DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR THE CONDUCT OF RIDERS OR DRIVERS, WHETHER ONLINE OR OFFLINE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIDE HIMAL PVT. LTD. AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. RIDE HIMAL PVT. LTD.'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RIDE HIMAL PVT. LTD. IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) [NPR AMOUNT].

Note: Some jurisdictions do not allow certain liability limitations; local law may override parts of this section, and this section should be reviewed against applicable rideshare regulations in each market you operate in.

12. Indemnification

You agree to indemnify and hold harmless Ride Himal Pvt. Ltd., its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

13. Insurance

Insurance coverage for trips arranged through the App is described in our Insurance Disclosure, available at [insurance disclosure URL]. Coverage varies by jurisdiction, by whether a Driver is en route to or transporting a Rider, and by applicable law. Drivers are responsible for maintaining their own insurance in compliance with local requirements.

14. Dispute Resolution and Arbitration

Please read this section carefully — it affects your legal rights. Except for claims that qualify for small claims court, you and Ride Himal Pvt. Ltd. agree to resolve disputes arising from these Terms or the Services through binding individual arbitration rather than in court, except where prohibited by law. You and Ride Himal Pvt. Ltd. each waive the right to a jury trial and to participate in a class action.

Note: Arbitration clauses and class-action waivers are restricted or unenforceable in some jurisdictions (including for certain consumer and employment/worker-classification claims). This section requires jurisdiction-specific legal review.

Nepal-specific note: If arbitration is seated in Nepal, it should reference the Arbitration Act, 2055 (1999). Note also that the Consumer Protection Act, 2075 (2018) may limit certain waivers for individual consumers (Riders), and class-action-style waivers have limited precedent under Nepali civil procedure — this section should be reviewed by Nepali counsel before relying on it.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Services and delete your account at any time. Sections that by their nature should survive termination (including Sections 10–14) will survive.

16. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you through the App or by email before the changes take effect. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

17. Governing Law

These Terms are governed by the laws of Bagmati Province, Nepal, without regard to conflict-of-laws principles, except as otherwise required by mandatory local law in the jurisdiction where a Rider or Driver resides or uses the Services.

18. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements you accept in the App, constitute the entire agreement between you and Ride Himal Pvt. Ltd.

  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

  • No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.

  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
